1. Provider and scope
These terms govern the business use of PlanLatch, provided by KWM Power & Property s.r.o., J. A. Bati 5648, 760 01 Zlín, Czech Republic, IČO 218 85 613 (“PlanLatch”, “we”, “us”).
PlanLatch is offered to Shopify merchants, agencies, and other business users, not to consumers for personal use. By installing the app and selecting a plan, the authorized merchant accepts these terms and the PlanLatch privacy policy.
2. Service
PlanLatch performs automated, observation-only checks against public Shopify storefront product and temporary-cart behavior. The service can discover products with selling plans, run desktop and mobile checks, and report status, operational warnings, incidents, screenshots, evidence, and suggested troubleshooting steps.
PlanLatch is a monitor, not a purchase-option application. It does not create or manage selling plans, checkout, orders, payments, customer subscriptions, or subscription contracts. It does not modify themes.
3. Authorization and merchant responsibilities
The merchant must:
- be authorized to install and operate the app for each monitored store;
- maintain Shopify Online Store access and a compatible existing purchase-option app for products that use selling plans;
- ensure that submitted public product URLs and optional storefront access details belong to a store the merchant is authorized to test;
- verify findings before changing a production theme, product, selling plan, or other live configuration;
- maintain appropriate backups and operational controls; and
- comply with applicable law and Shopify's terms.
The merchant must not use PlanLatch to scan a store it does not control, interfere with or reverse engineer the service, bypass service limits, submit malicious content or credentials, or use results unlawfully.
4. Safe synthetic checks
The merchant authorizes PlanLatch to load public product pages and create isolated temporary cart lines for monitored products. A check can include a variant and selling-plan identifier. PlanLatch clears the temporary cart and does not intentionally proceed to checkout or create an order, payment, or subscription contract.
5. Plans, trials, and billing
Prices, plan features, billing intervals, and any free-trial period are shown in Shopify's designated pricing interface before approval. All app charges are administered through Shopify App Pricing.
A merchant that approves a paid recurring plan with a free trial receives access during the stated trial period. Unless the merchant changes or cancels the plan or uninstalls the app before the trial ends, Shopify can begin the recurring billing cycle after the trial in accordance with the approved plan. Shopify handles invoicing, plan changes, and cancellation events.
The merchant can use the Shopify-hosted View or change plan link or uninstall the app. Refund or credit requests are considered case by case and, when granted, are processed through the applicable Shopify billing mechanism.
6. Service changes and availability
We may improve, modify, or discontinue non-material features and may perform maintenance. We will use reasonable care to keep the service available but do not guarantee uninterrupted operation, a particular scan time, or compatibility with every theme, storefront, browser behavior, or third-party purchase-option app.
We can suspend access when reasonably necessary to address abuse, security risk, non-payment, legal requirements, or material breach of these terms.
7. Results and no guarantee
PlanLatch checks a bounded part of the purchase path from product page to temporary cart. It does not monitor checkout completion, payment, order creation, subscription-contract creation, or every possible storefront state.
PlanLatch does not guarantee subscription revenue, detection of every defect, absence of false positives, or that a suggested next check will resolve an incident. Results and suggested fixes are informational and should be verified in an authorized test workflow before production changes.
8. Confidentiality and data
Each party must protect non-public information received from the other party and use it only for the service relationship. The merchant should not submit customer exports, payment data, API tokens, or other information that PlanLatch does not request.
Our handling of personal data, subprocessors, retention, and deletion is described in the PlanLatch privacy policy.
9. Intellectual property and feedback
PlanLatch and its software, design, documentation, and service methods remain the property of KWM Power & Property s.r.o. The merchant receives a limited, non-exclusive, non-transferable right to use the service while an authorized plan is active.
If the merchant voluntarily provides product feedback, we may use it to improve the service without identifying the merchant publicly unless separately authorized.
10. Termination
The merchant can terminate use by uninstalling the app. We can terminate or suspend the service for material breach, abuse, security risk, legal requirement, or non-payment. Data deletion follows the privacy policy and Shopify redaction requirements.
Sections that by their nature should survive termination, including payment obligations already incurred, confidentiality, intellectual property, disclaimers, liability, and governing law, remain effective.
11. Liability
To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special, punitive, or consequential loss, or for lost profits, revenue, goodwill, or data.
Our aggregate liability arising from PlanLatch is limited to the fees paid for the service during the three months before the event giving rise to the claim. This limitation does not apply where liability cannot lawfully be excluded or limited, including liability caused intentionally or through gross negligence.
12. Governing law and disputes
These terms are governed by the laws of the Czech Republic, excluding its conflict-of-laws rules. The courts competent for the registered office of KWM Power & Property s.r.o. have jurisdiction, unless mandatory law requires otherwise.
Before filing a claim, the parties should try in good faith to resolve the matter through hello@planlatch.com.
13. Changes
We may update these terms to reflect service, legal, or security changes. Material changes will be communicated through an appropriate service channel. Continued use after the stated effective date constitutes acceptance where permitted by law. If the merchant does not accept a material change, it can stop using and uninstall the app before the change takes effect.
